HISTORY
Transition North Cornwall Ltd was registered on 8th November 2008 as a company limited by Guarantee. It was started by the Steering Group of Transition North Cornwall Society to replace the Society and take on all its functions in order to protect members from the unlimited personal financial liability associated with the unincorporated society structure. The change occured on 23rd March 2009.
The original Transition North Cornwall Society was constituted on the 29th March 2008.
Both the company and the society held their AGM on 23rd March 2009, where the company's plans were approved and the society disbanded.
The Society disbanded with a large majority backing from existing members. However a small minority of members who opposed the closing down of the Society, have organised and held another meeting on 12th May 2009. This meeting has re-confirmed the decision of the Society members to close the Society down.
TNC Ltd currently has over 40 members and more than 350 friends on our email list. Its structure and main functions are detailed in its constitution.

Minutes of the Transition North Cornwall (TNC) Steering Group (SG) held at the offices of Rezolve Kernow Ltd, ***, on 13th October 2008 at 7-00pm.
Present: Paul Sousek, Rebecca Rapson & Mike Grigg
1. PS volunteered to act as chair. MG agreed to take minutes.
2. Apologies were received from Jacki Ellis-Martin
3. Confirmation of new members: No new members at this stage.
4. Minutes 9 (previous meeting) were confirmed as an accurate record of proceedings.
5. Treasurer: Discussion deferred to a future meeting. PS to remain in this position for the time being.
6. Formation of Company: PS circulated the necessary paperwork. It was agreed that PS & RR would become Subscribers and that MG would witness their signatures. PS, RR & MG to become directors. The forms were duly completed and signatures witnessed. PS will send documents to the Authority for processing and confirmation. Action: PS
Discussion digressed at the point. PS suggested the formation of an Advisory Board, composed of representatives from the various local Transition Groups. This can be discussed further at a later meeting.
7. Website: Members considered possible improvements to the website. It was suggested that the Homepage should be the opening page. The Homepage text to be reduced. Members to compare ideas. Action: All.
The log-in facility should be repositioned at the bottom of the homepage.. The heading ‘What Future?’ to be replaced with ‘The Future’. Perhaps a reference to the link between the current economic crisis and Peak Oil should be included. Action: PS
8. Action Points from last meeting: Actions points 5, 6 & 7 are referred to above.
Action points 8a & 8b: RR will prepare a press statement for consideration. 8c: It was agreed that members should compose articles for local newspapers. These should be approved by the group before submission for publication. Individual members reserve the right to write to papers in a personal capacity. 8d: MG had submitted his Community Action Plan as agreed. 8g: Registration of TNC with the Transition Movement to take place when the structure of the group is formalised; ie. after the formation of the Company. Action: MG. 8h: Members discussed the possibility of attending major shows, such as the Royal Cornwall Show. Expense would be a problem, but it may be possible to share space with other groups or organisations.
9. Action point 9a: PS had attended the Launceston Environment Day. Some interest had been shown in TNC and 10 new names were added to the email list. 9b: The film ‘The Eleventh Hour’ had been shown at Crackington, but public attendance was poor. 9d: Members to provide details of suitable venues for film shows etc, including contact details & costs. Action: All
10. Any other business: PS was keen to try Skype as a means of conducting meetings without the need to travel. Some compromise will be necessary, but possibly two suitable venues could be established.
11. Next Meeting: To take place at 7-00pm on Tuesday 25th November at MG’s house. MG to circulate directions.
