HISTORY

Transition North Cornwall Ltd was registered on 8th November 2008 as a company limited by Guarantee. It was started by the Steering Group of Transition North Cornwall Society to replace the Society and take on all its functions in order to protect members from the unlimited personal financial liability associated with the unincorporated society structure. The change occured on 23rd March 2009.

The original Transition North Cornwall Society was constituted on the 29th March 2008.

Both the company and the society held their AGM on 23rd March 2009, where the company's plans were approved and the society disbanded.

The Society disbanded with a large majority backing from existing members. However a small minority of members who opposed the closing down of the Society, have organised and held another meeting on 12th May 2009. This meeting has re-confirmed the decision of the Society members to close the Society down.

TNC Ltd currently has over 40 members and more than 350 friends on our email list. Its structure and main functions are detailed in its constitution.

Minutes 8
Minutes of the Transition North Cornwall Steering Group held at Trelay, St Gennys on Monday 28th July 2008 at 7.30pm.
Present (members of the Steering Group): Mark Norman (chair), Jackie Carpenter, Jonathan Stocks, Traci Lewis, Peter McGregor.
Present (Observer): Mike Quance.
Apologies: Paul Sousek.
1 Selection of Chairman
It was agreed that Mark would chair the meeting. The minutes were composed by the group.
2 Resignations
We discussed the functioning of the Steering Group and Mark, Traci and Peter have tendered their resignations, followed after further discussion by Jackie and Jon.
3 Letter to members
We composed a letter explaining why we had decided to resign. We agreed to invite Paul to change “five” to “six” and add his name to the letter if he wished to do so.
We resolved to ask Paul to email the letter to all members of Transition North Cornwall.
The agreed text of the letter was:

Dear Members of Transition North Cornwall,
The Transition Handbook says, “Setting up a Transition Hub is by no means a trivial undertaking so proceed with caution”. In February, six of us formed a Steering Group to set up a hub in North Cornwall, with good intentions, enthusiasm and positive energy. However, due to the complexity, the amount of work when we had limited time, difficult interpersonal issues and the size of the region, hence travelling difficulties, we have been unable to realise all our initial goals. But we have made a start, developed some networks and spread information as far as we have been able. We had good public meetings with Megan Quinn and Paul Mobbs, and various local groups have now started. We, the five undersigned, send good wishes to these local Transition movements. We are resigning from the Steering Group of Transition North Cornwall because we believe our energies will be better used within each of our local communities.

4 Bank Account
A bank account with Triodos has been applied for. The application is being processed. £193.20 has been paid in. Jon will produce a statement of income and expenditure to hand over to the next treasurer. Jon agreed to inform Triodos of the changes to the Steering Group.
